Terms of Service

Acceptance of Terms
By accessing or using the Tempo platform ("Service") operated by Tempo Platforms LLCd/b/a Tempo ("Tempo," "we," "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
Description of Service
Tempo is a clinical coding assistance platform that analyzes visit documentation and generates CPT code recommendations for independent primary care practices.
Important: Tempo is a recommendation engine. All CPT codes generated by the Service are suggestions only. Providers are solely responsible for reviewing, confirming, and submitting codes for billing. Tempo does not autonomously submit claims or file codes on behalf of any practice or provider.
Eligibility and Account
You must be at least 18 years old and authorized to use the Service on behalf of a licensed medical practice. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access.
HIPAA and Business Associate Agreement
The Service may process protected health information ("PHI") as defined under HIPAA. Before using any Service features that involve PHI, your practice must execute a Business Associate Agreement ("BAA") with Tempo. Contact legal@gettempohealth.com to initiate a BAA.
Acceptable Use
You agree not to:
- Submit or automate insurance claims without provider review and confirmation of each code
- Reverse-engineer or extract the Service's underlying models or algorithms
- Share credentials outside your licensed practice
- Use the Service in violation of HIPAA or applicable law
- Introduce malware or interfere with Service operations
Payment and Subscriptions
Access requires a paid subscription billed monthly. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are issued at our discretion and are not available for partial months.
Intellectual Property
The Service is owned by Tempo Platforms LLCand protected by intellectual property law. These Terms grant a limited, non-exclusive, non-transferable license to use the Service for your practice's internal purposes. You retain ownership of your practice data and PHI.
Disclaimers
The Service is provided "as is." Tempo does not warrant that recommendations are complete, accurate, or appropriate for any specific clinical situation. Providers must apply their own clinical and billing judgment. Tempo does not provide legal, medical, or billing compliance advice.
Limitation of Liability
Tempo's total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim. Tempo is not liable for indirect, incidental, or consequential damages, including lost revenue or billing denials.
Termination
Either party may terminate at any time. Tempo may suspend access immediately for Terms violations, non-payment, or harmful conduct. Sections on intellectual property, disclaimers, limitation of liability, and governing law survive termination.
Changes to Terms
Material changes will be communicated at least 30 days in advance. Continued use after the effective date constitutes acceptance.
Governing Law
These Terms are governed by the laws of the State of Delaware. Disputes will be resolved in Delaware state or federal courts.
